3. User Obligations

As a user of BluePixelAI's services, you agree to the following obligations and responsibilities:

3.3 Prohibited Uses

4. Intellectual Property Rights

4.1 BluePixelAI's Intellectual Property

All intellectual property rights in our services, including but not limited to software, algorithms, designs, documentation, and proprietary methodologies, remain the exclusive property of BluePixelAI unless otherwise agreed in writing.

4.2 Client-Specific Developments

  • Custom software applications developed specifically for your business requirements
  • Unique AI models trained on your specific data sets
  • Customized user interfaces and user experience designs
  • Business-specific integrations and workflows

Ownership of client-specific developments will be governed by the specific project agreement or contract executed between BluePixelAI and the client.

4.3 Third-Party Components

Our solutions may incorporate third-party software components, libraries, or services. These components remain subject to their respective licenses and terms of use. We will ensure proper licensing compliance for all third-party components used in your project.

4.4 License Grant

Subject to your compliance with these Terms and payment of applicable fees, BluePixelAI grants you a limited, non-exclusive, non-transferable license to use the services and any delivered software solely for your internal business purposes.

5. Payment Terms

5.1 Fees and Charges

All fees for our services will be clearly outlined in the project proposal or service agreement. Fees may vary based on project complexity, timeline, and specific requirements.

5.2 Payment Schedule

  • Project-Based Services: Typically require an initial deposit (25-50%) with remaining payments tied to project milestones
  • Ongoing Services: Billed monthly or quarterly as specified in the service agreement
  • Maintenance and Support: Billed according to the agreed support package terms

5.3 Payment Methods

We accept various payment methods including bank transfers, credit cards, and other mutually agreed payment methods. All payments must be made in the currency specified in the invoice.

5.4 Late Payments

Payments not received within 30 days of the due date may be subject to late fees and may result in suspension of services. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5.5 Refund Policy

Refunds are handled on a case-by-case basis and are generally not provided for completed work or services already rendered. Any refund requests must be submitted in writing within 30 days of the disputed charge.

6. Confidentiality

6.1 Mutual Confidentiality

Both parties acknowledge that they may have access to confidential information belonging to the other party. We are committed to maintaining the highest level of confidentiality for all client information.

6.2 Definition of Confidential Information

Confidential information includes but is not limited to:

  • Business strategies, plans, and proprietary methodologies
  • Technical data, algorithms, and software code
  • Customer lists, pricing information, and financial data
  • Any information marked as confidential or that would reasonably be considered confidential

6.3 Protection Obligations

Both parties agree to use reasonable care to protect confidential information and not to disclose such information to third parties without prior written consent, except as required by law or court order.

6.4 Data Security

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security of data transmission or storage.

7. Limitation of Liability

Important Legal Notice: Please read this section carefully as it limits BluePixelAI's liability to you.

7.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 Limitation of Damages

To the maximum extent permitted by applicable law, BluePixelAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability.

7.3 Maximum Liability

In no event shall BluePixelAI's total liability to you for all damages exceed the amount paid by you to BluePixelAI for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to liability.

7.4 Force Majeure

BluePixelAI shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, epidemics, government actions, or technical failures of third-party services.

8. Termination

8.1 Termination by Either Party

Either party may terminate these Terms or any service agreement with 30 days written notice. Ongoing projects may continue under existing project agreements until completion or separate termination.

8.2 Immediate Termination

BluePixelAI may terminate your access to our services immediately if you:

  • Breach any material term of these Terms
  • Fail to make required payments after notice and cure period
  • Engage in fraudulent or illegal activities
  • Use our services in a manner that could harm our business or reputation

8.3 Effect of Termination

Upon termination, your right to use our services will cease immediately. We will provide reasonable assistance in transitioning completed work to you, subject to payment of all outstanding fees.

8.4 Survival

The following sections shall survive termination: Intellectual Property Rights, Confidentiality, Limitation of Liability, and Governing Law.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where BluePixelAI's primary business operations are conducted, without regard to conflict of law principles.

9.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall first be addressed through good faith negotiations. If such negotiations fail, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

9.3 Jurisdiction

You agree to submit to the personal jurisdiction of the courts located in our primary business jurisdiction for any legal proceedings that cannot be resolved through arbitration.

9.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10. Amendments and Modifications

10.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

10.2 Acceptance of Changes

Your continued use of our services after any changes to these Terms constitutes acceptance of the new terms. If you do not agree to the modified terms, you must discontinue use of our services.

10.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
